Authorized Retailer Terms & Conditions

To protect and promote our brand and reputation for providing high-quality products, DMP Color, LLC, dba dpHUE (“dpHUE”) has established these Authorized Retailer Terms & Conditions (the “Terms”), effective immediately, which apply to authorized retailers of dpHUE products (the “Products”). By purchasing from dpHUE for retail sale, you (“Retailer”) agree to adhere to the following terms. Please read these Terms carefully.

1. Purchase Orders. Orders for Products made by Retailer shall be handled pursuant to the then-current product order, shipment, and return procedures, which may be amended by dpHUE at any time in its sole and absolute discretion. dpHUE reserves the right to reject any orders, in whole or in part, for any reason. Any additional or different terms proposed by Retailer (including, without limitation, any terms contained in any document incorporated by reference into a purchase order) are rejected and will be deemed a material alteration hereof, unless expressly agreed to in writing by dpHUE. Furthermore, dpHUE will not be bound by any "disclaimers", “click wrap” or "click to approve" terms or conditions now or hereafter contained in any website used by Retailer in connection with the Products or any sale thereof.

2. Manner of Sale. Retailer shall sell the Products only as set forth herein. Sales in violation of the Terms are strictly prohibited and may result in dpHUE’ immediate termination of Retailer’s account, in addition to other remedies. Furthermore, Products sold to unauthorized persons or through unauthorized channels, including unauthorized websites, shall not be eligible for certain promotions, services, and benefits, including, unless prohibited by law, coverage under dpHUE’s Product warranties and guarantees.

3. Retailer shall sell Products solely to end users of the Products. Retailer shall not sell to anyone a quantity of the Products greater than that generally purchased by an individual for personal use.

4. Retailer shall not sell, ship or invoice Products to customers outside of the United States or to anyone Retailer knows or has reason to know intends to ship the Products outside of the United States without the prior written consent of dpHUE.

5. Retailer is not permitted to market for sale or sell the Products through websites owned or operated by Retailer. Retailer shall not sell the Products on or through any other website, including any third-party marketplace website such as Amazon, eBay, Jet, Rakuten, Walmart Marketplace, or Sears Marketplace, without the prior written consent of dpHUE, which is granted solely by dpHUE. No dpHUE employee or agent can authorize online sales through oral statements, other written agreement, or by any other means.

6. Retailer shall comply with any and all applicable laws, rules, regulations and policies related to the advertising, sale and marketing of the Products.

7. Product Care & Quality Controls. Retailer shall care for the Products as set forth herein.

8. Product Inspection. Retailer shall inspect the Products upon receipt and during storage for damage, defects, broken seals, evidence of tampering or other nonconformance (collectively, “Defects”). Retailer shall also inspect its inventory regularly for expired or soon-to-be expired Products and shall remove those Products from its inventory.  Retailer shall not sell any Products that are expired. If any Defects are identified, Retailer must not offer the Product for sale and must promptly report the Defects to dpHUE.

9. Product Storage and Handling. Retailer shall exercise due care in storing and handling the Products, store the Products in a cool, dry place, away from direct sunlight, extreme heat, and dampness, and in accordance with any additional storage guidelines specified by dpHUE from time to time.

10. Recalls and Consumer Safety. To ensure the safety and well-being of the end-users of the Products, Retailer shall cooperate with dpHUE with respect to any Product recall or other consumer safety information dissemination effort.

11. Alterations & Bundling Prohibited . Retailer shall sell Products in their original packaging, with all seals intact. Retailer shall not sell or label the Products as “used”, “open box” or any other similar descriptors. Relabeling, repackaging (including the separation of bundled products or the bundling of products), misbranding, adulterating, and other alterations are not permitted. Retailer shall not tamper with, deface, or otherwise alter any batch code or other identifying information on Products or packaging. Retailer shall not remove or destroy any copyright notices, trademarks or other proprietary markings on the Products, documentation, or other materials related to the Products. Removing, translating, or modifying the contents of any label or literature accompanying the Products is prohibited. Retailer shall not advertise, market, display, or demonstrate non-dpHUE products together with the Products in a manner that would create the impression that the non-dpHUE products are made by, endorsed by, or associated with dpHUE.

12. Customer Service & Product Representations . Retailer and Retailer’s sales personnel shall familiarize themselves with the features of all Products marketed for sale and must obtain sufficient Product knowledge to advise end-user customers on the selection and safe use of the Products, as well as any applicable warranty or return policy. Retailer must make itself available to respond to customer questions and concerns both before and after sale of the Products and should endeavor to respond to customer inquiries promptly. Retailer and Retailer’s agents must represent the Products in a professional manner and refrain from any conduct that is or could be detrimental to the reputation of dpHUE. Retailer agrees to cooperate fully with dpHUE in any investigation or evaluation of such matters.

13. Intellectual Property. dpHUE owns all proprietary rights in and to the dpHUE brand, name, logo, trademarks, service marks, trade dress, copyrights, and other intellectual property related to the Products (the “IP”). Retailer is granted a limited, non-exclusive, non-transferable, revocable license to use the IP solely for purposes of marketing and selling the Products as set forth herein. This license will cease upon termination of Retailer’s status as an Authorized Retailer. dpHUE reserves the right to review and approve, in its sole discretion, Retailer’s use or intended use of the IP at any time, without limitation. All goodwill arising from Retailer’s use of the IP shall inure solely to the benefit of dpHUE.

14. Termination. If Retailer violates any of the Terms, dpHUE reserves the right to terminate the Terms immediately in addition to all other available remedies. Upon termination, Retailer will immediately lose its status as an Authorized Retailer and shall immediately cease (i) selling the Products; (ii) acting in any manner that may reasonably give the impression that Retailer is an Authorized Retailer or has any affiliation with dpHUE; and (iii) using any IP.

15. Availability of Injunctive Relief. Notwithstanding anything to the contrary herein, if there is a breach or threatened breach the Terms, it is agreed and understood that dpHUE will have no adequate remedy in money or other damages at law. Accordingly, dpHUE shall be entitled to injunctive relief and other equitable remedies; provided, however, no specification in the Terms of any particular remedy shall be construed as a waiver or prohibition of any other remedies in the event of a breach or threatened breach of the Terms. No failure, refusal, neglect, delay, waiver, forbearance, or omission by dpHUE to exercise any right(s) herein shall constitute a waiver of any provision herein.

16. Miscellaneous. dpHUE reserves the right to update, amend, or modify the Terms upon written or electronic notice to Retailer. Unless otherwise provided, such amendments will take effect immediately and Retailer’s continued use, advertising, offering for sale, or sale of the Products, use of the IP, or use of any other information or materials provided by dpHUE to Retailer under the Terms following notice will be deemed Retailer’s acceptance of the amendments. No waiver of any breach of any provision of the Terms shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, nor shall it constitute a course of dealing and no waiver shall be effective unless made in writing. If any provision of the Terms is held contrary to law, the remaining provisions shall remain valid. The following provisions shall survive the termination of the Terms: Sections 3 and 7. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PARTIES EACH HEREBY IRREVOCABLY AND EXPRESSLY WAIVE ALL RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM (WHETHER BASED UPON CONTRACT, TORT, OR OTHERWISE) ARISING OUT OF OR RELATING TO THE TERMS OR ANY OF THE TRANSACTIONS CONTEMPLATED HEREBY OR THEREBY OR THE PARTIES ACTIONS IN THE NEGOTIATIONS, ADMINISTRATION, OR ENFORCEMENT HEREOF OR THEREOF. THE PARTIES ACKNOWLEDGE THAT SUCH WAIVER IS MADE WITH FULL KNOWLEDGE AND UNDERSTANDING OF THE NATURE OF THE RIGHTS AND BENEFITS WAIVED HEREBY, AND WITH THE BENEFIT OF ADVICE OF COUNSEL OF ITS CHOOSING.

Authorized Retailer Terms & Conditions – Canada

2. Manner of Sale. Retailer shall sell the Products only as set forth herein. Sales in violation of the Terms are strictly prohibited and may result in dpHUE’s immediate termination of Retailer’s account, in addition to other remedies. Specifically and without limitation, Products sold to unauthorized persons or through unauthorized channels, including unauthorized websites, shall not be eligible for certain promotions, services, and benefits, including, unless prohibited by law, coverage under dpHUE’s Product warranties and guarantees. Furthermore, to the extent allowed by law and without limitation to any other disclaimer, dpHUE expressly disclaims any and all warranties and conditions to unauthorized Products; Products which are sold via unauthorized Retailers; and Products which are sold not in compliance with dpHUE’s quality control program or policies. Sales to or via Amazon and/or any other third-party marketplace in violation of this Agreement will render Retailer as an unauthorized Retailer, thereby voiding any and all Product warranties and conditions as well as dpHUE’s product return policies.
   • Retailer shall sell Products solely to end users of the Products. Retailer shall not sell to anyone a quantity of the Products greater than that generally purchased by an individual for personal use.

• Retailer shall not sell, ship or invoice Products to customers outside of Canada or to anyone Retailer knows or has reason to know intends to ship the Products outside of Canada without the prior written consent of dpHUE.

• Retailer is permitted to market for sale or sell the Products through websites owned or operated by Retailer; provided however, that such websites identify Retailer’s full legal name, mailing address, telephone number and email address. dpHUE, in its sole discretion, may revoke Retailer’s authorization to sell the Products on such websites at any time, and Retailer shall cease marketing for sale and/or selling the Products on such website immediately upon notice of such revocation. Retailer shall not sell the Products on or through any other website, including any third-party marketplace website such as Amazon, eBay, Jet, Rakuten, Walmart Marketplace, or Sears Marketplace, without the prior written consent of dpHUE, which is granted solely by dpHUE in its discretion. No dpHUE employee or agent can authorize online sales through oral statements, other written agreement, or by any other means.

Modalités du détaillant autorisé – Canada

Pour protéger et promouvoir notre marque et notre réputation de fournir des produits de grande qualité, DMP Color, LLC (« dpHUE ») a établi les présentes Modalités du détaillant autorisé (les « Modalités »), avec entrée en vigueur immédiate, qui s’appliquent aux détaillants autorisés des produits de dpHUE (les « Produits »). En achetant de dpHUE pour la vente au détail, vous (le « Détaillant ») consentez à respecter les Modalités qui suivent. Veuillez les lire attentivement.

1. Bons de commande. Les commandes de Produits faites par le Détaillant seront traitées conformément aux procédures de commande, d’expédition et de retour des produits alors en vigueur, que dpHUE peut modifier à tout moment à sa seule appréciation. dpHUE se réserve le droit de rejeter toute commande, en tout ou en partie, pour quelque raison que ce soit. Toute modalité supplémentaire ou différente proposée par le Détaillant (notamment une modalité contenue dans un document intégré par renvoi dans un bon de commande) est rejetée et sera considérée comme une modification importante des présentes, sauf si dpHUE y a expressément consenti par écrit. En outre, dpHUE ne sera pas liée par un « avis de non-responsabilité », un « contrat par clic » ou une « approbation par clic » actuellement ou ultérieurement contenu dans un site Web utilisé par le Détaillant en relation avec les Produits ou toute vente de ceux-ci.

2. Vente. Le Détaillant ne doit vendre les Produits que selon les Modalités prévues aux présentes. Les ventes en violation des Modalités sont strictement interdites et peuvent entraîner la résiliation immédiate du compte du Détaillant par dpHUE, en plus d’autres recours. Notamment, les Produits vendus à des personnes non autorisées ou par des canaux non autorisés, y compris des sites Web non autorisés, ne seront pas admissibles à certaines promotions ni à certains services et avantages, y compris, sauf si la loi l’interdit, la couverture au titre des garanties des Produits de dpHUE. En outre, dans la mesure permise par la loi et sous réserve de tout autre avis de non-responsabilité, dpHUE décline expressément toute garantie ou condition concernant des Produits non autorisés, les Produits vendus par des détaillants non autorisés et les Produits non vendus en conformité avec le programme ou les politiques de contrôle de la qualité de dpHUE. Les ventes à ou sur Amazon et/ou les sites Web de tiers marchés en violation de la présente Convention feront du Détaillant un détaillant non autorisé, ce qui annulera toutes les garanties et conditions des Produits ainsi que les politiques de retour de la marchandise de dpHUE.

   • Le Détaillant vend les Produits uniquement aux utilisateurs finaux des Produits. Il ne peut vendre à quiconque une quantité d’un Produit plus grande que la quantité généralement achetée par une personne à des fins personnelles.

• Le Détaillant ne doit pas vendre, expédier, ni facturer les Produits à des clients en dehors des Canada ou à toute personne dont le Détaillant sait ou a des raisons de savoir qu’elle a l’intention d’expédier les Produits en dehors des Canada sans le consentement écrit préalable de dpHUE.

• Le Détaillant est autorisé à commercialiser à des fins de vente ou à vendre les Produits via des sites Web qu’il détient ou exploite; à condition toutefois que la dénomination sociale complète, l’adresse postale, le numéro de téléphone et l’adresse courriel du Détaillant y figurent. dpHUE, à sa seule appréciation, peut en tout temps retirer l’autorisation du Détaillant de vendre les Produits sur ces sites Web, et le Détaillant cesse la commercialisation à des fins de vente et/ou la vente des Produits sur ces sites Web immédiatement après avoir reçu l’avis du retrait de l’autorisation. Le Détaillant ne peut vendre les Produits via d’autres sites Web, notamment via les sites Web de tiers marchés comme Amazon, eBay, Jet, Rakuten, Walmart Marketplace ou Sears Marketplace, sans avoir obtenu le consentement préalable écrit de dpHUE, que celle-ci peut accorder à sa seule appréciation. Aucun employé ou représentant de dpHUE ne peut autoriser de ventes en ligne au moyen d’une déclaration verbale, d’un autre accord écrit ou par tout autre moyen.

• Le Détaillant se conforme à l’ensemble des lois, règles, règlements et politiques se rapportant à la publicité, à la vente et à la commercialisation des Produits.

3. Entretien et contrôle de la qualité des produits. Le Détaillant s’occupe des Produits de la façon énoncée aux présentes.
   • Inspection des produits. Le Détaillant inspecte les Produits à leur réception et durant leur entreposage pour détecter les dommages, défauts, sceaux brisés, preuves de falsification ou autres nonconformités (collectivement, les « Défauts »). De plus, le Détaillant inspecte régulièrement son inventaire pour repérer les Produits périmés ou sur le point de l’être et retire ces Produits de son inventaire. Le Détaillant ne doit pas vendre de Produits périmés. Si des Défauts sont repérés, le Détaillant ne doit pas proposer le Produit à la vente et doit rapidement signaler les Défauts à dpHUE.

• Entreposage et manutention des produits. Le Détaillant fait preuve de prudence lors de l’entreposage et de la manutention des Produits et il les entrepose dans un endroit frais et sec, à l’abri de la lumière directe du soleil, de la chaleur extrême et de l’humidité, et suit les directives d’entreposage supplémentaires données par dpHUE à l’occasion.

• Retour et sécurité de la clientèle. Pour garantir la sécurité et le bien-être des utilisateurs finaux des Produits, le Détaillant collabore avec dpHUE à l’égard de tout retour de produit ou autre effort pour communiquer de l’information sur la sécurité des consommateurs.

• Interdiction de contrefaçon et d’offre groupée. Le Détaillant vend les Produits dans leur emballage d’origine, et tous les sceaux doivent être intacts. Il ne peut vendre ou étiqueter les Produits en tant qu’« usagés », avec la mention « boîte ouverte » ou autres descriptions similaires. Le réétiquetage, le réemballage (y compris la séparation de produits groupés ou le regroupement de produits), l’étiquetage falsifié, la dénaturation, et les autres modifications ne sont pas permis. Le Détaillant ne doit pas altérer, dégrader ou autrement modifier le code de lot ou toute autre information d’identification figurant sur les Produits ou l’emballage. Le Détaillant ne doit pas supprimer ni détruire les avis de droit d’auteur, les marques de commerce ou autres marques de propriété sur les produits, la documentation ou tout autre matériel lié aux Produits. Il est interdit de retirer, de traduire ou de modifier le contenu de toute étiquette ou documentation accompagnant les Produits. Le Détaillant ne doit pas publiciser, commercialiser, afficher ou présenter des produits qui ne sont pas de dpHUE avec les Produits d’une manière qui donnerait l’impression que les produits qui ne sont pas de dpHUE sont fabriqués ou endossés par dpHUE ou associés à dpHUE.

• Service à la clientèle et assertions sur les produits. Le Détaillant et son personnel de vente doivent bien connaître les caractéristiques de tous les Produits commercialisés pour la vente et acquérir suffisamment de connaissances sur les Produits pour conseiller les consommateurs finaux dans leur choix et leur utilisation sécuritaire des Produits et pour les informer des garanties et politiques de retour applicables. Le Détaillant doit être disponible pour répondre aux questions et préoccupations des clients avant et après la vente des Produits et doit s’efforcer de répondre rapidement aux demandes de renseignements des clients. Le Détaillant et ses représentants doivent représenter les Produits de manière professionnelle et ne pas se conduire de manière qui nuit ou pourrait nuire à la réputation de dpHUE. Le Détaillant consent à collaborer entièrement avec dpHUE dans le cadre d’une enquête ou d’une évaluation à cet égard.

4. Propriété intellectuelle. dpHUE possède tous les droits de propriété à l’égard de la marque, du nom, du logo, des marques de commerce, des marques de service, des présentations commerciales, des droits d’auteurs et des droits de propriété intellectuelle reliés aux Produits (la « PI »). Le Détaillant se voit accorder une licence limitée, non exclusive, incessible et révocable lui permettant d’utiliser la PI uniquement à des fins de commercialisation et de vente des Produits, tel qu’énoncé aux présentes. Cette licence prend fin aussitôt que le Détaillant n’est plus un Détaillant autorisé. dpHUE se réserve le droit d’examiner et d’approuver, en tout temps et à sa seule appréciation, l’utilisation ou l’utilisation prévue de la PI par le Détaillant. Toute survaleur découlant de l’utilisation de la PI par le Détaillant s’applique uniquement à l’avantage de dpHUE.

5. Résiliation. Si le Détaillant viole une Modalité, dpHUE se réserve le droit de résilier immédiatement les Modalités en sus de tous les autres recours à sa disposition. À la résiliation, le Détaillant perd aussitôt son statut de Détaillant autorisé et cesse aussitôt i) de vendre les Produits; ii) d’agir de manière qui peut donner raisonnablement l’impression qu’il est un Détaillant autorisé ou qu’il a des liens avec dpHUE, et iii) d’utiliser la PI.

6. Infonction. Malgré toute disposition à l’effet contraire dans les présentes, en cas de violation ou de menace de violation des Modalités, il est convenu et entendu qu’aucuns dommages-intérêts ou recours en droit ne constitueront pour dpHUE une réparation suffisante. Par conséquent, dpHUE aura droit à des injonctions et autres recours en equity; étant entendu qu’aucune mention d’un recours particulier dans les Modalités ne sera interprétée comme une renonciation ou un empêchement à tout autre recours en cas de violation réelle ou imminente des Modalités. Si dpHUE omet, refuse, néglige ou s’abstient d’exercer un droit prévu aux présentes, y renonce ou l’exerce tardivement, elle n’est pas considérée avoir renoncé à une disposition quelconque des présentes.

7. Divers. dpHUE se réserve le droit de mettre à jour ou de modifier les Modalités sur remise d’un avis écrit ou électronique au Détaillant. Sauf indication contraire, de telles modifications prennent effet immédiatement et le fait pour le Détaillant de continuer à utiliser, à publiciser, à offrir en vente ou à vendre les Produits, à utiliser la PI ou à utiliser tout autre renseignement ou matériel fourni par dpHUE aux termes des Modalités à la suite de l’avis est réputé être une acceptation des modifications par le Détaillant. Aucune renonciation à une quelconque violation d’une disposition des Modalités ne constitue une renonciation à une violation antérieure, concomitante ou ultérieure de la même disposition ou de toute autre disposition des présentes, ni ne constitue une pratique commerciale, et aucune renonciation ne prendra effet si elle n’est pas faite par écrit. Si une disposition des Modalités est jugée contraire à la loi, les autres dispositions resteront valides. Les dispositions suivantes continueront de s’appliquer malgré la résiliation des Modalités : articles 3 et 7. DANS TOUTE LA MESURE PERMISE PAR LE DROIT APPLICABLE, LES PARTIES RENONCENT CHACUNE IRRÉVOCABLEMENT ET EXPRESSÉMENT PAR LES PRÉSENTES À TOUT DROIT À UN PROCÈS DEVANT JURY DANS LE CADRE DE TOUTE ACTION, PROCÉDURE OU DEMANDE RECONVENTIONNELLE (QU’ELLE SOIT FONDÉE SUR UN CONTRAT, UN DÉLIT CIVIL OU AUTRE) ATTRIBUABLE OU LIÉE AUX MODALITÉS OU À UNE OPÉRATION VISÉE PAR LES PRÉSENTES OU DES ACTIONS DES PARTIES DANS LE CADRE DES NÉGOCIATIONS, DE L’ADMINISTRATION OU DE L’EXÉCUTION DES PRÉSENTES. LES PARTIES RECONNAISSENT QUE CETTE RENONCIATION EST FAITE EN PLEINE CONNAISSANCE ET COMPRÉHENSION DE LA NATURE DES DROITS ET AVANTAGES AUXQUELS IL EST RENONCÉ PAR LES PRÉSENTES, ET QU’ELLES ONT EU LA POSSIBILITÉ DE CONSULTER LE CONSEILLER JURIDIQUE DE LEUR CHOIX.
